Terms of Service

Effective date: January 1, 2025

These Terms of Service ("Terms") govern your access to and use of the LeasePilot commercial lease abstraction service ("Service") operated by LeasePilot ("LeasePilot," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.


1. Description of Service

LeasePilot is an AI-powered lease abstraction tool that processes commercial real estate lease documents uploaded by users. The Service uses large language model technology to extract, structure, and summarize key lease terms, dates, and obligations. LeasePilot also provides an optional monitoring dashboard that tracks extracted dates and sends configurable deadline alert emails.

LeasePilot is designed for commercial real estate landlords and property investors managing their own lease portfolios. It is not designed for, and should not be used by, tenants, franchisees, or parties seeking to gain an informational advantage in an active lease dispute.


2. Not Legal Advice — Important Limitation

Read this section carefully.

LeasePilot provides AI-generated summaries of lease documents for informational purposes only. The output produced by LeasePilot — including extracted dates, clause summaries, risk flags, and any other content — does not constitute legal advice, legal analysis, or the practice of law.

LeasePilot is not a law firm. No attorney-client relationship is created by your use of the Service. AI-generated lease abstractions may contain errors, omissions, or misinterpretations of complex lease language. You should not rely solely on LeasePilot output to make legal, financial, or business decisions.

You should always consult a licensed real estate attorney to review your lease documents, confirm critical deadlines, and advise you on your rights and obligations under any lease. This is especially important before exercising options, responding to defaults, sending legal notices, or making significant investment decisions.

LeasePilot applies confidence flags and attorney-review indicators to fields where the AI has identified ambiguity. These flags are not exhaustive — the absence of a flag does not guarantee accuracy. Treat all AI-generated output as a starting point for review, not a final determination.


3. Your Authority to Upload Documents

By uploading a document to LeasePilot, you represent and warrant that:

  • You are the owner or authorized representative of the landlord party to the lease, or you otherwise have the legal right and authority to upload the document to a third-party software service provider for processing.
  • Your upload and use of the Service does not violate any confidentiality clause, non-disclosure agreement, court order, or other legal restriction governing the document.
  • You have reviewed your lease for any provisions restricting disclosure to third parties and have determined that use of a software service provider for lease administration purposes is permitted.
  • You have the authority to authorize LeasePilot's transmission of the document text to our AI processing provider (Anthropic) as described in our Privacy Policy.

LeasePilot bears no responsibility for your failure to comply with confidentiality obligations in your lease agreements. You upload documents at your own risk and remain solely responsible for ensuring that doing so is legally permissible.


4. Acceptable Use

You agree not to use the Service to:

  • Upload documents you do not have the legal right to submit for processing.
  • Upload documents containing information about third parties without a legitimate landlord-side business purpose.
  • Attempt to reverse-engineer, scrape, or extract the underlying AI models, prompts, or extraction logic used by LeasePilot.
  • Circumvent payment requirements or exploit the Service without compensating LeasePilot.
  • Upload malicious files or content intended to harm LeasePilot's systems or other users.
  • Use the Service to assist tenants in disputes against landlords, or for any use case materially different from individual commercial real estate portfolio management.
  • Resell, white-label, or redistribute LeasePilot output without a written agreement authorizing such use.

5. Payments and Billing

Per-use abstraction fees

The Service charges a one-time flat fee of $5 per lease document abstracted, regardless of lease type or page count. Payment is required and confirmed via Stripe before any AI extraction is performed. All fees are non-refundable once extraction has been initiated.

Monitoring subscription

Optional ongoing lease monitoring is available as a monthly subscription. The current rate is $19/month. Subscriptions renew automatically until cancelled. You may cancel your subscription at any time from your account dashboard; cancellation takes effect at the end of the current billing period. No partial-month refunds are provided.

Failed extractions

If an extraction fails due to a LeasePilot system error (not due to an unsupported file format or document type), we will re-process your document at no additional charge or issue a credit at our discretion. Extractions that fail because the uploaded PDF is image-only (not text-native) or otherwise unsupported are not eligible for refunds, as these failures result from document characteristics outside LeasePilot's control.

Pricing changes

LeasePilot reserves the right to change pricing with 30 days' notice. Price changes do not affect extraction jobs already paid for or active subscription periods already billed.

6. AI Processing Disclosure

The Service uses Anthropic's Claude API to process uploaded documents. By using the Service, you acknowledge and consent to the transmission of your document's text content to Anthropic's servers for AI processing. Anthropic's API data usage policy explicitly excludes API inputs from being used to train or improve Anthropic's AI models.

LeasePilot is not responsible for Anthropic's data handling practices beyond what is reflected in our Privacy Policy. We encourage you to review Anthropic's Privacy Policy directly.

AI-generated output is inherently probabilistic. LeasePilot makes commercially reasonable efforts to produce accurate extractions but makes no guarantee that any specific field, date, clause summary, or flag is complete, correct, or current. Lease documents often contain amendments, side letters, and addenda that may modify terms in ways that are not apparent from a single PDF file.


7. Supported Document Types and Limitations

LeasePilot currently supports text-native PDF files only. The Service cannot process:

  • Image-only or scanned PDFs (documents where the text is embedded as an image rather than selectable text)
  • Password-protected or encrypted PDF files
  • Files larger than 50 MB
  • Non-PDF file formats (Word documents, images, etc.)

If you upload an unsupported file, LeasePilot will display an error before any payment is required. We are not responsible for extraction quality on documents that contain handwritten amendments, exhibits, or attachments that are not machine-readable.


8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEASEPILOT EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED OUTPUT
  • WARRANTIES THAT THE SERVICE WILL IDENTIFY ALL CRITICAL DATES, CLAUSES, OR OBLIGATIONS IN ANY LEASE DOCUMENT

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEASEPILOT'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE — INCLUDING CLAIMS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE — SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO LEASEPILOT IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) $100.

IN NO EVENT SHALL LEASEPILOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, MISSED DEADLINES, LOSS OF BUSINESS OPPORTUNITY, OR DAMAGES ARISING FROM RELIANCE ON AI-GENERATED OUTPUT, EVEN IF LEASEPILOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.


10. Indemnification

You agree to indemnify, defend, and hold harmless LeasePilot and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service in violation of these Terms
  • Your upload of documents you did not have the right to submit
  • Your violation of any third party's rights, including confidentiality obligations in your lease agreements
  • Any reliance on AI-generated output that results in a missed deadline, incorrect enforcement action, or other harm

11. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@leasepilot.com if you suspect unauthorized access to your account.

LeasePilot reserves the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or activity that poses a security or legal risk to LeasePilot or other users. In the event of termination for cause, no refunds will be issued for unused subscription time.


12. Intellectual Property

You retain all rights to the lease documents you upload. LeasePilot does not claim ownership of your source documents.

LeasePilot owns all rights in the Service, including the software, design, extraction prompts, and the structured output format. The AI-generated abstraction output produced for your document is licensed to you for your own internal use in managing your lease portfolio. You may not resell, redistribute, or license LeasePilot output to third parties without written authorization.


13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

You agree to resolve disputes with LeasePilot on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration against LeasePilot.


14. Changes to These Terms

LeasePilot may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date of any change constitutes your acceptance of the updated Terms.
